In this Agreement, the terms ("client", or "customer", or "account holder", or "you") is defined as, but not necessarily limited to, anyone who is authorized to uses the website or its services on behalf of any business, company, or themselves personally.

In this Agreement, the terms ("your content", or "your material", or "content", or "material") is defined as, but not necessarily limited to any text, images, audio, video or any other items you submit to the website for any reason, whether by upload, through email or any other method of conveyance.

Your Acceptance

Unless otherwise stated in this Agreement, ArborManagers™ and/or its licensors own the intellectual property rights in the website, and material on the website, and all intellectual property rights are reserved.

You may not use the website to send or transmit unsolicited communications of any kind

Website Access

ArborManagers™ reserves the right to restrict access to certain areas of the website, including the entire website at the discretion of ArborManagers™, at any time.

As a valid account holder, you will be provided a user ID and password to gain access to your client account. It is your responsibility to ensure your user ID and password are kept confidential.

ArborManagers™ may disable you user ID and password at anytime, without your permission. If we disable your user ID and password you will be notified by email to the account email address we have on file at that time.

User Content

You grant to ArborManagers™ a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media, so long as that content is already public facing.

Your content or material must not be illegal, unlawful, must not infringe on any third party's legal rights, and must not be capable of giving rise to legal action against you or ArborManagers and any of its properties or employees, or any third party.

You must not submit any content to the website that is or has ever been the subject of any threatened or actual legal actions, legal proceedings or any other similar complaint

ArborManagers™ reserves the right to remove any content or material submitted to the website, stored on the website servers or in any other way hosted by the website, at any time, without notice.

ArborManagers™ may or may not, at times, by human intervention or programmatically, monitor submissions and uploads to the website, to determine whether content is in accordance with this Terms of Service Agreement.

Warranties

The website is provided "As Is", without any representation of warranties, express or implied. ArborManagers makes no representations or warranties in relation to the website, or the information and materials provided on this website.

ArborManagers™ does not warrant that the website will be constantly available, or available at all; nor do we warrant that the information on the website will always be completely accurate and without flaw.

Limitation of Liability

ArborManagers™ will not be liable to you, under any law in relations to the contents of, or use of, or in otherwise connection with the website:

For any indirect, special or consequential loss
For any business loss, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation of goodwill, or loss or corruption of information and data
These limitations of liability apply even if ArborManagers™ has been expressly advised of the potential loss.

Exceptions

Nothing in the website disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.

Reasonability

By using the website, you agree that the exclusions and limitations of liability set out in the website disclaimer are reasonable.

Other Parties

You accept that ArborManagers™ has interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against Arbor Managers LLC officers or employees in respect of any losses you suffer in connection with the website.

You agree that the limitations of warranties and liability set out in the website disclaimer will protect Arbor Managers LLC officers, employees, agents, subsidiaries, successors, assigns, and sub-contractors as well as ArborManagers™ or ArborManagers.com™

Unenforceable Provisions

If any provision of the website Agreement or disclaimer is, or is found to be unenforceable under applicable law, that will not affect the enforceability of the other provisions listed in the website Agreement or disclaimer.

Indemnity

You hereby indemnify Arbor Managers LLC, ArborManagers™ and ArborManagers.com™ and undertake to keep both indemnified against any losses, damages, costs, liabilities, and expenses (including without limitation, legal expenses and any amount paid by ArborManagers™ to a third party in settlement of a claim or dispute on the advice of Arbor Managers LLC's legal counsel) incurred or suffered by ArborManagers™ arising out of any breach by you of any portion of this Agreement, or arising out of any claim that you have breached any provision of this Agreement

Breaches of Provisions

You agree that if you violate any provisions of the website Agreement in any way, ArborManagers™ may take such action as ArborManagers™ deems appropriate to deal with the breach, including but not limited to denying your access to the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website, and/or bringing legal action or court proceedings against you

Revisions to Agreement

ArborManagers™ may revise this Agreement or any of its provisions from time to time. Revised Terms and Conditions will apply to the use of the website and related Services from the date of publication of the revisions on the this website. Notification of changes will be published on the same date as the changes. You will find the notice of Terms of Use revision on the Terms of Service page of the website.

ArborManagers™ is not responsible for older cached versions of the website pages on your computer. Please be sure and check the website Terms of Use Agreement once per month, and refresh the page after arriving.

Assignment

ArborManagers™ may transfer, sub-contract, or otherwise deal with ArborManagers rights and/or obligations under this Agreement without notifying you or obtaining consent.

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under this Agreement.

Severability

If a provision of these Terms and Conditions is determined by any court or any other competent authority to be unlawful and/or unenforceable, the other provisions will continue in full force and effect.

If any unlawful and/or unenforceable provision would be lawful or enforceable if a part of it were removed, then that part will be deemed to have been removed and the rest of the provision will remain in full force and effect

Entire Agreement

These provisions or Terms and Conditions together with the ArborManagers.com™ privacy policy constitute the entire Agreement between you and ArborManagers™ in relation to your use of the website, and supersedes all previous Agreements or agreements in respect of your use of the website.

Lawful Jurisdiction

These Terms and Conditions will be governed in accordance with the laws of the State of Florida and Marion County Florida. Any disputes related to these Terms and Conditions will be subject to the courts of Marion County Florida.
